Possible Bearish Signals With Astronics Insiders Disposing Stock

Simply Wall St ·  Dec 2, 2024 19:00

In the last year, many Astronics Corporation (NASDAQ:ATRO) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Astronics

The Independent Director, Robert Keane, made the biggest insider sale in the last 12 months. That single transaction was for US$678k worth of shares at a price of US$19.09 each. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The silver lining is that this sell-down took place above the latest price (US$16.15). So it may not tell us anything about how insiders feel about the current share price.

Insiders in Astronics didn't buy any shares in the last year. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Insider Ownership Of Astronics

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. I reckon it's a good sign if insiders own a significant number of shares in the company. Astronics insiders own about US$56m worth of shares. That equates to 9.9% of the company. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Do The Astronics Insider Transactions Indicate?

It doesn't really mean much that no insider has traded Astronics shares in the last quarter. We don't take much encouragement from the transactions by Astronics insiders. But it's good to see that insiders own shares in the company. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. At Simply Wall St, we've found that Astronics has 2 warning signs (1 is significant!) that deserve your attention before going any further with your analysis.
