Lincoln Electric Holdings Insiders Sell US$48m Of Stock, Possibly Signalling Caution

Simply Wall St ·  Nov 20, 2024 12:14

Over the past year, many Lincoln Electric Holdings, Inc. (NASDAQ:LECO) insiders sold a significant stake in the company which may have piqued investors' interest. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Lincoln Electric Holdings

Over the last year, we can see that the biggest insider sale was by the Executive Chairman, Christopher Mapes, for US$40m worth of shares, at about US$252 per share. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. The silver lining is that this sell-down took place above the latest price (US$204). So it may not shed much light on insider confidence at current levels.

In the last year Lincoln Electric Holdings insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. The last quarter saw substantial insider selling of Lincoln Electric Holdings shares. In total, Senior VP and President of Global Automation Michael Whitehead dumped US$194k worth of shares in that time, and we didn't record any purchases whatsoever. Overall this makes us a bit cautious, but it's not the be all and end all.

Insider Ownership Of Lincoln Electric Holdings

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. It appears that Lincoln Electric Holdings insiders own 0.6% of the company, worth about US$73m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Do The Lincoln Electric Holdings Insider Transactions Indicate?

An insider sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. Insiders own shares, but we're still pretty cautious, given the history of sales. We're in no rush to buy! While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. While conducting our analysis, we found that Lincoln Electric Holdings has 1 warning sign and it would be unwise to ignore it.
