Independent Director Of Unum Group Sold 57% Of Their Shares

Simply Wall St ·  Nov 17 22:34

Some Unum Group (NYSE:UNM) shareholders may be a little concerned to see that the Independent Director, Ronald O'Hanley, recently sold a substantial US$1.0m worth of stock at a price of US$72.10 per share. That diminished their holding by a very significant 57%, which arguably implies a strong desire to reallocate capital.

The Last 12 Months Of Insider Transactions At Unum Group

In the last twelve months, the biggest single sale by an insider was when the President, Richard McKenney, sold US$2.5m worth of shares at a price of US$49.15 per share. That means that even when the share price was below the current price of US$73.19, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. We note that the biggest single sale was only 5.6% of Richard McKenney's holding.

In the last year Unum Group insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. Insider Ownership Of Unum Group

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that Unum Group insiders own 0.8% of the company, worth about US$104m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About Unum Group Insiders?

Insiders sold stock recently, but they haven't been buying. And even if we look at the last year, we didn't see any purchases. On the plus side, Unum Group makes money, and is growing profits. It is good to see high insider ownership, but the insider selling leaves us cautious. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
