Insiders At Axogen Sold US$639k In Stock, Alluding To Potential Weakness

Simply Wall St ·  Nov 9 22:35

Axogen, Inc. (NASDAQ:AXGN) shareholders may have reason to be concerned, as several insiders sold their shares over the past year. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

Axogen Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the insider, Michael Donovan, sold US$320k worth of shares at a price of US$8.81 per share. That means that an insider was selling shares at slightly below the current price (US$12.66). When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was 50% of Michael Donovan's holding.

Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Insiders own 4.9% of Axogen shares, worth about US$27m. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

So What Does This Data Suggest About Axogen Insiders?

The fact that there have been no Axogen insider transactions recently certainly doesn't bother us. We don't take much encouragement from the transactions by Axogen insiders. But we do like the fact that insiders own a fair chunk of the company. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. Every company has risks, and we've spotted 1 warning sign for Axogen you should know about.
