35% Of This Encompass Health Insider's Holdings Were Sold

Simply Wall St ·  Nov 2 20:07

Viewing insider transactions for Encompass Health Corporation's (NYSE:EHC ) over the last year, we see that insiders were net sellers. This means that a larger number of shares were sold by insiders in relation to shares purchased.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

Encompass Health Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the Chief Medical Officer, Elissa Charbonneau, sold US$850k worth of shares at a price of US$85.02 per share. So it's clear an insider wanted to take some cash off the table, even below the current price of US$98.91. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 35% of Elissa Charbonneau's holding. The only individual insider seller over the last year was Elissa Charbonneau.

Does Encompass Health Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that Encompass Health insiders own 1.3% of the company, worth about US$128m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About Encompass Health Insiders?

There haven't been any insider transactions in the last three months -- that doesn't mean much. While we feel good about high insider ownership of Encompass Health, we can't say the same about the selling of shares. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company.
