Possible Bearish Signals With Mattel Insiders Disposing Stock

Many Mattel, Inc. (NASDAQ:MAT) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, we do think it is perfectly logical to keep tabs on what insiders are doing.

Mattel Insider Transactions Over The Last Year

In the last twelve months, the biggest single sale by an insider was when the President & Chief Commercial Officer, Steve Totzke, sold US$1.4m worth of shares at a price of US$18.90 per share. That means that an insider was selling shares at slightly below the current price (US$19.83). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 38% of Steve Totzke's stake.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Mattel insiders own about US$58m worth of shares. That equates to 0.9% of the company. We've certainly seen higher levels of insider ownership elsewhere, but these holdings are enough to suggest alignment between insiders and the other shareholders.

What Might The Insider Transactions At Mattel Tell Us?

There haven't been any insider transactions in the last three months -- that doesn't mean much. Still, the insider transactions at Mattel in the last 12 months are not very heartening. But we do like the fact that insiders own a fair chunk of the company. In addition to knowing about insider transactions going on, it's beneficial to identify the risks facing Mattel. While conducting our analysis, we found that Mattel has 1 warning sign and it would be unwise to ignore it.
