(referred to as 'Henan broadcasting' or 'Party B') and considering the long-term cooperation in the future, as well as the financial situation of customers, both parties, in the spirit of mutual understanding and continuous cooperation, after full communication, the company agreed that Henan broadcasting will transfer 12.8 million yuan of the company's total debt to its holding subsidiary Henan Yuwang Digital Technology Co., Ltd. Yuwang Digital is willing to take over this 12.8 million yuan debt and agrees to transfer 35% equity of Henan Zhihui Zhongyuan Information Technology Co., Ltd. (referred to as 'Zhihui Zhongyuan'), which it holds, to the company at the price of 12.8 million yuan to repay the debt.
