In a formal statement released on Friday, US Cellular Corp stated that this transaction, along with agreements with two other mobile network operators, is contingent upon the completion of the deal announced in May to sell a portion of its wireless operating business and some spectrum assets to T-Mobile US Inc.
This news comes as Verizon and other US wireless communications companies are increasingly focusing on their core 5G communication businesses. Last month, Verizon sold the leasing rights of thousands of microwave communication towers in a deal. However, through this transaction, Verizon obtained an important condition that it can lease back the required tower capacity to continue using the infrastructure of these communication towers. This is a capacity leaseback arrangement that allows Verizon to continue using these towers without losing its complete usage rights.
Back in May, US Cellular announced a planned transaction with another US wireless communications giant, T-Mobile, totaling as much as 4.4 billion dollars, including cash and debt.
According to the statement, the privately held US Cellular controls one of the largest communication tower businesses in the United States. If all these transactions go through, it will still hold some spectrum assets and continue to 'seek to monetize these core assets being retained'.
