According to the shareholder agreement and the new shareholder agreement of MJM, LSJ and Hong Kong Blue Whale, as subsidiaries of Lygend Resource (02245), have injected capital into PT Makmur Jaya Maritimindo (MJM) in proportion to their respective shareholdings in MJM, increasing MJM's registered capital from 67.5 billion Indonesian Rupiah to 147.5 billion Indonesian Rupiah. Of this amount, 39.2 billion Indonesian Rupiah (equivalent to RMB 18.1481 million) was contributed by Hong Kong Blue Whale. Following the capital injection, the shareholding ratios of LSJ and Hong Kong Blue Whale in MJM remain unchanged. As the capital injection is carried out based on the MJM shareholder agreements, the remaining 202.5 billion Indonesian Rupiah of unpaid statutory capital will be subscribed by MJM shareholders according to MJM's actual operational needs and Indonesian applicable laws, hence eliminating the need to sign further capital increase agreements.
The announcement stated that in order for the group to benefit from establishing MJM, and considering MJM's actual operational needs and Indonesian laws, it is deemed necessary for the company to inject capital in accordance with the MJM shareholder agreement and the new MJM shareholder agreement.
