On the news front, Sunway International announced that it would issue a total of 35.92 million shares to its controlling shareholder Zhan Peizhong (subscriber) at a price of 0.1 Hong Kong dollar per share, representing a premium of 96.08% over the pre-suspension closing price. The total subscription amount is 3.6 million Hong Kong dollars, with a net amount of 2.6 million Hong Kong dollars to be used as general operating funds. Upon completion, the subscriber and its concerted parties' shareholding in the company will increase from the current 41.03% to 50.86%, and a mandatory unconditional cash offer will be required at a tender price of 0.1 Hong Kong dollar per share.
At the same time, 30 million Hong Kong dollars one-year zero-interest convertible bond was issued to the subscriber, of which approximately 22.68 million Hong Kong dollars will be used to set off the company's payable amount to the subscriber, and the balance will be paid in cash.
