The company received a notice from the Shanghai Stock Exchange (hereinafter referred to as "Shanghai Exchange") on September 27, 2024, regarding the acceptance of the application by Guolian Securities Co., Ltd. to issue shares to purchase assets and raise supporting funds (Shanghai Stock Exchange approval (merger and reorganization) [2024] No. 26). The Shanghai Exchange checked the application documents in accordance with relevant regulations, deemed the application documents complete and in compliance with legal formalities, and decided to accept them for review and conduct the review in accordance with the law.

The administrative licensing applications related to this transaction involve China Securities Regulatory Commission (hereinafter referred to as "CSRC") approving the change of major shareholders of the company, establishment of professional subsidiaries by the company, change of controlling shareholders and actual controllers of Minsheng Securities, change of actual controllers of Minsheng Fund Management Co., Ltd., and change of actual controllers of Minsheng Futures Co., Ltd. On September 27, 2024, the CSRC accepted the aforementioned administrative licensing applications in accordance with the law and issued the "CSRC Administrative Licensing Application Acceptance Notice" (Acceptance Numbers: 241605, 241606, 241608, 241607, 241602).

Approval by the Shanghai Stock Exchange, registration approval by the CSRC, and approval by the relevant departments of the CSRC for the qualifications and changes of shareholders in securities, futures, and funds involved in this transaction are still uncertain before the formal implementation can be completed.
