Don't Ignore The Insider Selling In Guidewire Software

Simply Wall St ·  Sep 20 18:34

We wouldn't blame Guidewire Software, Inc. (NYSE:GWRE) shareholders if they were a little worried about the fact that Michael Rosenbaum, the CEO & Director recently netted about US$4.0m selling shares at an average price of US$172. That sale reduced their total holding by 12% which is hardly insignificant, but far from the worst we've seen.

Guidewire Software Insider Transactions Over The Last Year

In fact, the recent sale by Michael Rosenbaum was the biggest sale of Guidewire Software shares made by an insider individual in the last twelve months, according to our records. That means that even when the share price was slightly below the current price of US$175, an insider wanted to cash in some shares. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 12% of Michael Rosenbaum's stake.

Does Guidewire Software Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Insiders own 0.5% of Guidewire Software shares, worth about US$74m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Does This Data Suggest About Guidewire Software Insiders?

Insiders haven't bought Guidewire Software stock in the last three months, but there was some selling. And there weren't any purchases to give us comfort, over the last year. Insiders own shares, but we're still pretty cautious, given the history of sales. So we'd only buy after careful consideration. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
