Sinopec Oilfield Service Corporation (600871.SH) announced on September 20th that the company received a notification from its controlling shareholder, China Petroleum & Chemical Corporation (referred to as "Sinopec Group"), on September 20th, 2024. In order to deepen the strategic cooperation between Sinopec Group and PetroChina, and optimize the equity structure of the company, Sinopec Group and PetroChina signed a non-paid transfer agreement on September 20th, 2024. It is planned to transfer the 759,170,000 A-shares (approximately 4.00% of the total share capital of the company, calculated based on the total share capital of the company on the date of this announcement) held by Sinopec Group to PetroChina through the non-paid transfer of state-owned shares approved by the State-owned Assets Supervision and Administration Commission of the State Council (referred to as "SASAC").

Prior to this transfer, Sinopec Group directly held 10,727,896,364 A-shares of the company, accounting for approximately 56.52% of the total share capital of the company; PetroChina did not hold any shares of the company.

After this transfer, Sinopec Group will directly hold 9,968,726,364 A-shares of the company, accounting for approximately 52.52% of the total share capital of the company; PetroChina will directly hold 759,170,000 A-shares of the company, accounting for approximately 4.00% of the total share capital of the company. This transfer will not result in any change in the controlling shareholder or actual controller of the company.
