Have Insiders Sold Marvell Technology Shares Recently?

Simply Wall St ·  Sep 19 19:01

Some Marvell Technology, Inc. (NASDAQ:MRVL) shareholders may be a little concerned to see that the Independent Director, Fouad Tamer, recently sold a substantial US$6.8m worth of stock at a price of US$74.16 per share. That sale reduced their total holding by 19% which is hardly insignificant, but far from the worst we've seen.

The Last 12 Months Of Insider Transactions At Marvell Technology

In fact, the recent sale by Fouad Tamer was the biggest sale of Marvell Technology shares made by an insider individual in the last twelve months, according to our records. So what is clear is that an insider saw fit to sell at around the current price of US$71.55. We generally don't like to see insider selling, but the lower the sale price, the more it concerns us. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

Over the last year we saw more insider selling of Marvell Technology shares, than buying. Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Marvell Technology insiders own about US$254m worth of shares (which is 0.4% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Does This Data Suggest About Marvell Technology Insiders?

The insider sales have outweighed the insider buying, at Marvell Technology, in the last three months. And our longer term analysis of insider transactions didn't bring confidence, either. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
