Several American Woodmark Insiders Sell Shares Sending Potential Negative Signal

A number of American Woodmark Corporation (NASDAQ:AMWD) insiders sold their shares in the last year, which may have raised concerns among investors. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At American Woodmark

In the last twelve months, the biggest single sale by an insider was when the Independent Non-Executive Chairman, Vance Tang, sold US$256k worth of shares at a price of US$85.20 per share. That means that an insider was selling shares at slightly below the current price (US$88.70). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. We note that the biggest single sale was only 5.2% of Vance Tang's holding.

Insider Ownership

Many investors like to check how much of a company is owned by insiders. We usually like to see fairly high levels of insider ownership. It appears that American Woodmark insiders own 1.2% of the company, worth about US$16m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

There haven't been any insider transactions in the last three months -- that doesn't mean much. We don't take much encouragement from the transactions by American Woodmark insiders.
