Independent Director Steven Gomo Sold A Bunch Of Shares In Nutanix

Some Nutanix, Inc. (NASDAQ:NTNX) shareholders may be a little concerned to see that the Independent Director, Steven Gomo, recently sold a substantial US$1.8m worth of stock at a price of US$60.05 per share. That sale reduced their total holding by 30% which is hardly insignificant, but far from the worst we've seen.

Nutanix Insider Transactions Over The Last Year

The President, Rajiv Ramaswami, made the biggest insider sale in the last 12 months. That single transaction was for US$4.7m worth of shares at a price of US$33.88 each. So it's clear an insider wanted to take some cash off the table, even below the current price of US$59.06. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. It is worth noting that this sale was only 21% of Rajiv Ramaswami's holding.

Does Nutanix Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Nutanix insiders own about US$79m worth of shares. That equates to 0.5% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

What Might The Insider Transactions At Nutanix Tell Us?

An insider sold stock recently, but they haven't been buying. Looking to the last twelve months, our data doesn't show any insider buying. Insider ownership isn't particularly high, so this analysis makes us cautious about the company. We'd practice some caution before buying!
