Executive VP & President of Worldwide Field Operations Of Samsara Sold 87% Of Their Shares

Some Samsara Inc. (NYSE:IOT) shareholders may be a little concerned to see that the Executive VP & President of Worldwide Field Operations, Lara Caimi, recently sold a substantial US$2.3m worth of stock at a price of US$44.85 per share. Probably the most concerning element of the whole transaction is that the disposal amounted to 87% of their entire holding.

The Last 12 Months Of Insider Transactions At Samsara

Over the last year, we can see that the biggest insider sale was by the Executive VP & CFO, Dominic Phillips, for US$5.5m worth of shares, at about US$25.10 per share. That means that even when the share price was below the current price of US$47.44, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. This single sale was just 18% of Dominic Phillips's stake.

Many investors like to check how much of a company is owned by insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. It's great to see that Samsara insiders own 44% of the company, worth about US$11b. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

Insiders sold Samsara shares recently, but they didn't buy any. And there weren't any purchases to give us comfort, over the last year. It is good to see high insider ownership, but the insider selling leaves us cautious. So while it's helpful to know what insiders are doing in terms of buying or selling, it's also helpful to know the risks that a particular company is facing.
