Hudson Corporation (603958.SH) announced on September 13 that the company held the 5th meeting of the 8th board of directors on September 12, 2024, and approved the Proposal on Cash Acquisition of Assets. The company plans to purchase a total of 358.32 million yuan in cash: (1) 45% equity of Suzhou Langkes Precision Hardware Co., Ltd. (hereinafter referred to as "Suzhou Langkes") held by Zhou Zechen, Suzhou Yeyu Enterprise Management Partnership Enterprise (Limited Partnership) (hereinafter referred to as "Suzhou Yeyu"), Huang Yongqiang, and Wang Yongfu; (2) 55.2% equity of Jiangsu Langxun Industrial Intelligent Equipment Co., Ltd. (hereinafter referred to as "Jiangsu Langxun") held by Henan Langxun Investment Partnership Enterprise (Limited Partnership) (hereinafter referred to as "Henan Langxun"). After the completion of this transaction, the company will control 55% of the equity of Suzhou Langkes and 65.2% of the equity of Jiangsu Langxun (collectively referred to as the "target companies").

Before the completion of this transaction, the company directly held 10% equity of Jiangsu Langxun and did not directly hold equity of Suzhou Langkes. Jiangsu Langxun indirectly held 10% equity of Suzhou Langkes through Suzhou Yeyu. After the completion of this transaction, the listed company will control 55% of the equity of Suzhou Langkes and 65.2% of the equity of Jiangsu Langxun.

According to the Asset Valuation Report issued by Northern Asia Assets Appraisal Co., Ltd., the total valuation of 100% equity of the target companies Suzhou Langkes and Jiangsu Langxun in this transaction is 600 million yuan and 160 million yuan respectively. The transaction valuation of 45% equity of Suzhou Langkes and 55.2% equity of Jiangsu Langxun as the target assets is 270 million yuan and 88.32 million yuan respectively.
