(688258.SH) announced that the company plans to use its own funds to purchase a 48% stake in the target company held by the controlling subsidiary Appeon Limited and other natural person shareholders Armeen Sohrab Mazda, Jian Qi, Yu Xiaomin, Cai Fangpeng, Li Fang, Yang Yongqing, Zhang Xier, Jiang Yaling, Hong Juan, Liu Xiangjiao, Lu Sida, Huang Xuxia, Shi Xinfei, Sun Zao. The investment amount is RMB 273,278,400.00. After the completion of this transaction, the company will hold 100% equity of Appeon Limited.

The minority shareholders of the target company have made a performance commitment for the target company not to be lower than 46 million yuan of actual net cash flow in 2024, as well as a commitment to research and sales expenses for new products in the 2024-2026 period, which should be no less than the actual investment in research and sales expenses for new products made by the target company in 2023, that is, a commitment of no less than 9.6 million yuan/year, as well as a performance compensation commitment.
