According to Zhitong Finance App, Southern Manganese (01091) issued an announcement. Since resolutions 1 and 2 were officially passed as ordinary resolutions at the adjournment of the special shareholders' meeting and came into effect immediately after adoption, Mr. Li Weijian no longer serves as the company's executive director, chairman of the board of directors, and CEO of the company; and Mr. Li Junji is no longer the company's executive director and vice president. Following his dismissal, Mr. Li Weijian also ceased to be an authorized representative of the company, a member of the Board of Directors Nomination Committee (Nomination Committee), and a member of the Board's Remuneration Committee (Remuneration Committee), which took effect immediately after the relevant resolution was passed.

The board of directors resolved to dismiss Mr. Li Weijian and Mr. Li Junji from all positions in the company's subsidiaries after the relevant internal procedures have been completed.

Since Resolutions 3 and 4 were formally passed as ordinary resolutions at the adjourned session of the Extraordinary General Meeting of Shareholders and came into effect immediately after adoption, Mr. Zhang Yi (Mr. Zhang) has been appointed as the company's executive director; and Mr. Liu Yang (Mr. Liu) has been appointed as the company's executive director.

The board of directors is pleased to announce the appointment of Mr. Zhang Yi (executive director of the company) as the chairman of the board of directors, effective from September 10, 2024. Mr. Cheung has also been appointed as a member of the Remuneration Committee and Nomination Committee since September 10, 2024.

Mr. Pan Shenghai (Mr. Pan) (non-executive director of the company since October 28, 2022) will be transferred from a non-executive director to an executive director from September 10, 2024, and will be appointed as the CEO of the company after the Hong Kong Immigration Department issues a work permit visa to Mr. Pan.

Mr. Zhang He, the executive director, has been appointed as the company's authorized representative (in accordance with section 3.05 of the Listing Rules) with effect from September 10, 2024.
