According to the announcement of Agtech Holdings (08279) on February 8, 2024, mFinance (the company's indirect wholly-owned subsidiary) and Nebula Network entered into a share transfer agreement. mFinance conditionally agreed to acquire, and Nebula Network conditionally agreed to sell shares, which account for 33.3% of the issued share capital of Ant Bank (Macau) on the date of this announcement or approximately 24.2% of the enlarged issued share capital of Ant Bank (Macau), with a consideration of 0.133 billion Macau dollars (equivalent to approximately 0.129 billion Hong Kong dollars). Under the share transfer agreement, 30% of the consideration (equivalent to 39.96 million Macau dollars or approximately 38.797 million Hong Kong dollars) will be distributed by Nebula Network to Agtech Macau (the company's indirect wholly-owned subsidiary) in proportion to the 30% equity interest held by Nebula Network; and entered into a capital increase agreement with ant bank (Macau), Alipay (Macau) Holdings, and Alipay (Macau) Investment. mFinance conditionally agreed to further capitalization of Ant Bank (Macau) by subscribing to 1.5 million shares of common stock at a price of 100 Macau dollars per share (equivalent to approximately 97 Hong Kong dollars), accounting for approximately 27.3% of the enlarged issued share capital of Ant Bank (Macau), with an additional investment of 0.15 billion Macau dollars (equivalent to approximately 0.146 billion Hong Kong dollars).

The completion should be achieved on or before the tenth business day after the completion conditions are met or waived. The board of directors is pleased to announce that all completion conditions have been met or waived, and the completion has been implemented on September 2, 2024.

After the completion, Ant Bank (Macau) has become an indirectly non-wholly-owned subsidiary of the Company, and the financial statements of Ant Bank (Macau) have been consolidated into the Group's financial statements. After the completion, the Group will no longer hold any equity interest in Nebula Network, and Nebula Network will no longer be an associated company with 30% equity interest indirectly owned by the Company.
