Possible Bearish Signals With Cactus Insiders Disposing Stock

Simply Wall St ·  Sep 2 18:32

In the last year, many Cactus, Inc. (NYSE:WHD) insiders sold a substantial stake in the company which may have sparked shareholders' attention. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Cactus

Over the last year, we can see that the biggest insider sale was by the CEO & Chairman of the Board, Scott Bender, for US$31m worth of shares, at about US$52.03 per share. That means that even when the share price was below the current price of US$59.52, an insider wanted to cash in some shares. When an insider sells below the current price, it suggests that they considered that lower price to be fair. That makes us wonder what they think of the (higher) recent valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was 93% of Scott Bender's stake.

Does Cactus Boast High Insider Ownership?

For a common shareholder, it is worth checking how many shares are held by company insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Cactus insiders own about US$25m worth of shares. That equates to 0.5% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
