Willas-Array (00854.HK) announced that it has received valid acceptances involving 0.323 million share options (equivalent to approximately 39.78% of the total number of share options under the share option offer) as of 4:30 pm yesterday (27th), regarding the cash offer made by the representatives of National Trust Financing and Jinhua Capital for the acquisition of all shares of the company and the cancellation of all unexercised share options.

As of 6:00 pm yesterday, taking into account the valid acceptances of the share offer, the total number of shares held or controlled by the offeror and its concert parties represents 56.6% of the issued share capital of the company, as well as 56.29% of the maximum potential share capital of the company.

Due to the fact that the aggregate shareholding of the offeror and its concert parties represents more than 50% of the issued share capital and the maximum potential share capital of the company, the conditions of the offer have been met, and the share offer has thus become unconditional in all respects. The deadline for the share offer has been extended from August 29th to 4:00 pm on September 13th.
