Willas-Array (00854.HK) announced that as of 6:00 p.m. on August 27, 2024, the total number of shares held or controlled by the offeror and its concerted actors (including the valid acceptance of the share tender offer) was 49,637,712 shares, accounting for 56.60% of the company's issued share capital and 56.29% of the company's maximum potential share capital.

Guoxin Financing and Jinhua Capital hereby announce on behalf of the offeror that the offeror has received valid acceptances of the tendered shares as of 6:00 p.m. on August 27, 2024. Together with the shares owned or agreed to be acquired before or during the tender, the total shareholding of the offeror and its concerted actors will exceed 50% of the company's issued share capital and maximum potential share capital.

Therefore, the tender conditions have been met, and the share tender is now unconditional in terms of acceptance, and hereby announced that it is unconditional in all respects as of the date of this joint announcement.
