Xian Weijian has submitted his resignation to the board of directors to resign as an independent non-executive director, effective from August 1, 2024, to reduce his workload and invest more time in pursuing other personal careers and work arrangements. Following his resignation, Mr. Sin ceased to serve as the chairman of the Company's Audit Committee and a member of the Remuneration Committee.
In order to fill the vacancies in the Audit Committee and Remuneration Committee and bring the company back into compliance with the requirements of section 3.21, 3.25 and 19A.18 (1) of the Listing Rules as soon as practicable, the Company Nomination Committee has recommended that the board of directors propose the appointment of Mr. Leung as an independent non-executive director after considering Leung Health's qualifications, work experience, and the time and effort he expects to put into the company. The appointment of Mr. Leung as an independent non-executive director is subject to approval by the company's shareholders at the company's shareholders' meeting before it can actually take effect.
