100% Of This Golden Ocean Group Insider's Holdings Were Sold

Simply Wall St ·  Jul 26 03:28

Viewing insider transactions for Golden Ocean Group Limited's (NASDAQ:GOGL ) over the last year, we see that insiders were net sellers. This means that a larger number of shares were sold by insiders in relation to shares purchased.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

Golden Ocean Group Insider Transactions Over The Last Year

The Interim CEO & CFO of Golden Ocean Management AS, Peder Carl Simonsen, made the biggest insider sale in the last 12 months. That single transaction was for US$2.5m worth of shares at a price of US$12.62 each. That means that even when the share price was below the current price of US$12.96, an insider wanted to cash in some shares. We generally consider it a negative if insiders have been selling, especially if they did so below the current price, because it implies that they considered a lower price to be reasonable. However, while insider selling is sometimes discouraging, it's only a weak signal. We note that the biggest single sale was 100% of Peder Carl Simonsen's holding. Peder Carl Simonsen was the only individual insider to sell over the last year.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Our data isn't picking up on much insider ownership at Golden Ocean Group, though insiders do hold about US$225k worth of shares. We do note, however, it is possible insiders have an indirect interest through a private company or other corporate structure. It's always possible we are missing something but from our data, it looks like insider ownership is minimal.

So What Does This Data Suggest About Golden Ocean Group Insiders?

The fact that there have been no Golden Ocean Group insider transactions recently certainly doesn't bother us. We don't take much encouragement from the transactions by Golden Ocean Group insiders. And we're not picking up on high enough insider ownership to give us any comfort. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
