Circutech (08051) has announced that CircuTech Netherlands has been granted subscription options according to the shareholder agreement, and therefore has the right to request the existing shareholders of the target company (and/or its permitted assignee) to sell all subscription option shares to CircuTech Netherlands during the subscription option period at its discretion.

On July 12, 2024, CircuTech Netherlands notified the existing shareholders of the target company in writing that it will not exercise its subscription options.

As CircuTech Netherlands did not exercise its subscription options, as disclosed in the announcement, existing shareholders of the target company can buy back all shares of the target company held by CircuTech Netherlands at the repurchase price during the repurchase period. If the existing shareholders of the target company exercise the repurchase option, the company will comply with the applicable GEM listing rules as necessary.
