1. Company Overview

Riken NPR <6209> is a holding company (established by joint equity transfer) established on October 2, 2023 by the integration of Riken, a major piston ring manufacturer, and NPR. While leveraging the brands of both companies, it aims to pursue synergy under integrated governance, and aims for sustainable growth and further improvement of corporate value.

As of the end of March 2024, the headquarters of the company is located in Chiyoda-ku, Tokyo, and the headquarters functions are located at Tokyo headquarters (Chiyoda-ku, Tokyo) and Saitama headquarters (Saitama City, Saitama Prefecture). In addition, the total assets are 218,580 billion yen, net assets are 149,166 billion yen, self-capital ratio is 64.2%, the number of issued shares is 28,141,360 shares (including 3,159 treasury stocks), and the number of consolidated employees is 7,036 (3,882 domestic and 3,154 overseas). 2. History

Riken was founded in 1927 as a company that industrialized the invention of manufacturing piston rings (acquired patents in various countries) by Dr. Keikichi Ebihara of the River Laboratory of the Institute of Physical and Chemical Research. It started production of practical piston rings for the first time in Japan. After renaming, splitting, merging, etc., it was restarted (founded Riken) in 1952 listing on the Tokyo Stock Exchange (hereinafter referred to as TSE), with its name changed to Riken Ironworks Co., Ltd. in 1941, later renamed Riken Kashiwazaki Piston Ring Co., Ltd. (renamed to Riken Piston Ring Co., Ltd. in 1950) and Riken Kumagai Casting Co., Ltd. (renamed to Riken Casting Co., Ltd. in 1951) after reorganization after the war. From the 1960s, it has been expanding globally and supplying a wide range of products to major automobile manufacturers around the world.

NPR was established by Mr. Tomokuni Suzuki, who learned the technology of marine engines alone, opened Suzuki Manufacturing in 1912, and started designing and manufacturing flame-top ship engines, rice milling machines, etc. Realizing the need for domestic production of piston rings, Mr. Suzuki worked hard to create a prototype piston ring in 1931 and changed the name to Nippon Piston Ring Co., Ltd. in 1934. It was listed on the TSE in 1949, and established a factory in Kawaguchi City, Saitama Prefecture. In 1970s, it strengthened overseas business and has been supplying a wide range of products to major automobile manufacturers around the world.

Both companies have contributed to the development of the world's automotive industry since their establishment as piston ring manufacturing companies, but in the midst of the once-in-a-century transformation of the automotive industry, they face various challenges. Recognizing that pursuing synergy under integrated governance while leveraging the long-standing brands of both companies is the optimal choice to achieve the sustainable growth and improvement of corporate value of both companies, they established a holding company by integrating management on October 2nd, 2023 (by joint equity transfer) and listed it on the TSE Prime Market (Riken and NPR, which became wholly-owned subsidiaries, were delisted on September 28th, 2023).
