ArcBest Insiders Sell US$9.8m Of Stock, Possibly Signalling Caution

Simply Wall St ·  Jul 4 18:07

The fact that multiple ArcBest Corporation (NASDAQ:ARCB) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At ArcBest

The Chairman, Judy McReynolds, made the biggest insider sale in the last 12 months. That single transaction was for US$2.7m worth of shares at a price of US$110 each. That means that an insider was selling shares at around the current price of US$109. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. In this case, the big sale took place at around the current price, so it's not too bad (but it's still not a positive).

All up, insiders sold more shares in ArcBest than they bought, over the last year. Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. We usually like to see fairly high levels of insider ownership. ArcBest insiders own about US$43m worth of shares. That equates to 1.7% of the company. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.

So What Does This Data Suggest About ArcBest Insiders?

It doesn't really mean much that no insider has traded ArcBest shares in the last quarter. Our analysis of ArcBest insider transactions leaves us cautious. The modest level of insider ownership is, at least, some comfort.
