Toronto, Ontario--(Newsfile Corp. - July 2, 2024) - BELGRAVIA HARTFORD CAPITAL INC. (CSE: BLGV) ("Belgravia Hartford" or the "Company"), is pleased to announce it has closed the first tranche of its previously announced non-brokered private placement (the "Offering") of units ("Units"). Under the initial tranche, the Company issued and sold 12,235,714 Units at a price per Unit of $0.021 per Unit for aggregate gross proceeds of $256,950.01. Each Unit consists of one common share of the Company (each, a "Common Share") and one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant is exercisable to acquire one Common Share for a period of 12 months at an exercise price of $0.05 per Common Share.
As previously announced, the Company upsized the maximum size of the Offering to $500,000 on June 25, 2024, however pursuant to the policies of the Canadian Securities Exchange (the "CSE"), the Company may raise a maximum of $485,449.99. The Company expects to close the second tranche of the Offering during the month of July 2024. The Company is also exploring additional non-dilutive financing options in addition to the Offering.
The securities issued under the Offering are subject to a statutory hold period lasting four months and one day following the date of issuance.
Belgravia Hartford intends to use the net proceeds of the Offering for general working capital purposes.
The completion of the Offering is subject to certain conditions including, but not limited to, the receipt of all required regulatory approvals including final approval of the CSE.
