Insiders At Rapid7 Sold US$8.3m Of Stock Potentially Indicating Weakness

Even though Rapid7, Inc. (NASDAQ:RPD) stock gained 16% last week, insiders who sold US$8.3m worth of stock over the past year are probably better off. Selling at an average price of US$49.13, which is higher than the current price, may have been the wisest decision for these insiders as their investment would have been worth less now than when they sold.

While we would never suggest that investors should base their decisions solely on what the directors of a company have been doing, we do think it is perfectly logical to keep tabs on what insiders are doing.

The Last 12 Months Of Insider Transactions At Rapid7

Over the last year, we can see that the biggest insider sale was by the President & COO, Andrew Burton, for US$2.0m worth of shares, at about US$52.89 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The good news is that this large sale was at well above current price of US$42.70. So it is hard to draw any strong conclusion from it.

Rapid7 Insiders Are Selling The Stock

Over the last three months, we've seen significant insider selling at Rapid7. In total, insiders dumped US$2.2m worth of shares in that time, and we didn't record any purchases whatsoever. This may suggest that some insiders think that the shares are not cheap.

Insider Ownership Of Rapid7

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Insiders own 1.6% of Rapid7 shares, worth about US$42m. This level of insider ownership is good but just short of being particularly stand-out. It certainly does suggest a reasonable degree of alignment.

So What Does This Data Suggest About Rapid7 Insiders?

Insiders sold Rapid7 shares recently, but they didn't buy any. And even if we look at the last year, we didn't see any purchases. While insiders do own shares, they don't own a heap, and they have been selling. So we'd only buy after careful consideration.
