On June 27th, Gelunhui announced that after the resignation, the company now has only one director, which is less than the minimum number stipulated in Article 83(1) of the company's rules. In addition, according to Article 113(1) of the rules, the legal number of directors' meetings is not sufficient to carry out the affairs of the board of directors. According to Article 114 of the rules, the remaining sole director is actively seeking suitable candidates to fill the vacancy caused by the resignation, in order to restore the functions of the board of directors as soon as possible. However, the process of appointing a new director may take some time. Therefore, the actual timetable for the board of directors to restore its normal composition is still uncertain. Nevertheless, the company expects that the resignation will not have a significant impact on the company's daily business operations. As mentioned above, shareholders and potential investors of the company are advised to act with caution when buying or selling company shares. When the appointment of a director is confirmed, the company will issue relevant announcements.

The company has applied to the Hong Kong Stock Exchange for the resumption of trading of the company's shares on June 28th, 2024 at 9:00 am.
