Nanhua Group Holdings (00413) announced that non-executive director Wu Xufeng has resigned as director due to seeking other business opportunities, effective from June 27, 2024. Non-executive director Li Yuanyu has rotated off the board of directors at the end of the shareholders' annual general meeting in accordance with Article 116 of the Company's Articles of Association and detailed rules. Li Yuanyu did not propose to be re-elected at the shareholders' annual meeting and therefore no longer serves as a non-executive director after the end of the shareholders' annual meeting. After retiring, Li Yuanyu no longer serves as a member of the Company's audit committee and remuneration and nomination committee. Independent non-executive director Xie Huang Xiaoyan has rotated off the board of directors at the end of the shareholders' annual general meeting in accordance with Article 116 of the Company's Articles of Association and detailed rules. Xie Huang Xiaoyan did not propose to be re-elected at the shareholders' annual meeting and therefore no longer serves as an independent non-executive director after the end of the shareholders' annual meeting. After retiring, Xie Huang Xiaoyan no longer serves as the chairman of the Company's remuneration and nomination committee and as a member of the audit committee.

After Xie Huang Xiaoyan's retirement, the board of directors happily announced that independent non-executive director Pang Ailan, BBS.Taiping Gentlemen has been appointed as the chairman of the remuneration and nomination committee, effective from the end of the shareholders' annual general meeting.
