Gengstar Energy Group (600753.SH) announced on June 26 that the board of directors received a letter from its controlling shareholder, Zhejiang Haixin Energy Co., Ltd., submitted to the board of directors via email on June 17, 2024, requesting the board to convene an extraordinary general meeting of shareholders of Gengstar Energy Group to deliberate on 12 proposals for discussion.

The company's board of directors believes that previously, Zhejiang Haixin, the controlling shareholder, requested the temporary proposal for the second extraordinary general meeting of shareholders in 2024. The board of directors considers that the temporary proposal does not comply with relevant laws and regulations and is not submitted to the shareholders' meeting for deliberation. Please refer to the company's announcement on the Shanghai Stock Exchange website on June 15 and June 19, 2024: "Announcement on Explanation of Matters Related to the Board of Directors' Decision not to Submit Temporary Proposals of Shareholders to the Shareholders Meeting for Deliberation" (Announcement No.: 2024-042), and "Reply Announcement on Matters Related to Gengstar Energy Group's Regulatory Work Letter from the Shanghai Stock Exchange" (Announcement No.: 2024-044), respectively. After comparison, the 12 proposals submitted by Zhejiang Haixin for the board of directors to convene an extraordinary general meeting of shareholders this time are no different from those listed in the previous temporary proposal. The board of directors believes that there is no necessity to convene an extraordinary general meeting of shareholders for the aforementioned matters. Therefore, the board of directors decided not to convene an extraordinary general meeting of shareholders.
