Several Luminar Technologies Insiders Sell Shares Sending Potential Negative Signal

Simply Wall St ·  Jun 25 20:49

Luminar Technologies, Inc. (NASDAQ:LAZR) shareholders might have a reason to worry after multiple insiders sold their shares over the last year. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, when multiple insiders sell stock over a specific duration, shareholders should take notice as that could possibly be a red flag.

While insider transactions are not the most important thing when it comes to long-term investing, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Luminar Technologies

Over the last year, we can see that the biggest insider sale was by the Chief Legal Officer & Secretary, Alan Prescott, for US$235k worth of shares, at about US$5.57 per share. While we don't usually like to see insider selling, it's more concerning if the sales take place at a lower price. It's of some comfort that this sale was conducted at a price well above the current share price, which is US$1.36. So it may not shed much light on insider confidence at current levels.

In the last year Luminar Technologies insiders didn't buy any company stock. You can see the insider transactions (by companies and individuals) over the last year depicted in the chart below. If you want to know exactly who sold, for how much, and when, simply click on the graph below!

Does Luminar Technologies Boast High Insider Ownership?

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. I reckon it's a good sign if insiders own a significant number of shares in the company. Luminar Technologies insiders own 25% of the company, currently worth about US$156m based on the recent share price. This kind of significant ownership by insiders does generally increase the chance that the company is run in the interest of all shareholders.

What Might The Insider Transactions At Luminar Technologies Tell Us?

It doesn't really mean much that no insider has traded Luminar Technologies shares in the last quarter. While we feel good about high insider ownership of Luminar Technologies, we can't say the same about the selling of shares. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision. While conducting our analysis, we found that Luminar Technologies has 5 warning signs and it would be unwise to ignore them.
