(hereinafter referred to as the "company") subsidiary Guangdong xiangxue NanYao Development Co., Ltd. (hereinafter referred to as "xiangxueNanYao" or "Party A") signed the "Deqing County Southern Medicine Industry Park Project Asset Transfer Contract" with the Deqingyuan Management Bureau of Zhaoqing High-tech Zone (hereinafter referred to as "Party B") and Deqing Xingshun Agriculture Development Co., Ltd. (hereinafter referred to as "Xingshun Agriculture" or "Party C"). XiangxueNanYao will transfer the assets of the Deqing County Southern Medicine Industry Park project to Xingshun Agriculture, with a transfer price of 88.04 million yuan. Party B is responsible for arranging funds and overall implementation. The transfer price will mainly be used to pay off the relevant debts incurred by xiangxueNanYao in the construction of Deqing County Southern Medicine Industry Park project and the taxes and fees incurred in this asset transfer.
