1. Company Overview

Nippon Hume Co., Ltd. is a comprehensive manufacturer of concrete secondary products that will celebrate its 100th anniversary in 2025. It started manufacturing Hume pipes for the first time in Japan in 1925 and expanded into areas such as foundation construction concrete piles, shield method segments (tunnel covering members used in shield methods), and roadside wall railings, providing one-stop services from design and manufacturing to construction of concrete secondary products. Its corporate philosophy is to "participate in the development of social infrastructure and contribute to the creation of a rich human environment. The Company is headquartered in Minato-ku, Tokyo, and has domestic manufacturing bases in Tomakomai (Tomakomai City, Hokkaido), Kumagaya (Kumagaya City, Saitama Prefecture), Mie (Mie District, Mie Prefecture), Amagasaki (Amagasaki City, Hyogo Prefecture), and Kitakyushu (Kitakyushu City, Fukuoka Prefecture).

The Group consists of the Company, nine consolidated subsidiaries, six equity-method affiliates, and one non-consolidated subsidiary. The consolidated subsidiaries are Toho Hume Pipe Co., Ltd., Giko Shogo Co., Ltd., NH Futaba Co., Ltd., Nippon Hume Engineering Co., Ltd., Humes Co., Ltd., Environmental Improvement Planning Co., Ltd., Koshu Co., Ltd. (scheduled to be consolidated as of January 2024), Nippon Hume International Limited (Hong Kong), and one other overseas subsidiary. The equity-method affiliates include NJS Co., Ltd. (established as a subsidiary of the Company in 1951) and Asahi Concrete Industry Co., Ltd. In 2022, the Company established Confrontia Inc. (a non-consolidated subsidiary with investment ratios of 50% each from the Company and NJS) to engage in urban infrastructure solution business in a joint venture with NJS.

As of December 2022, the Company met the one-day average trading value requirement for the Tokyo Stock Exchange Prime Market listing maintenance standards, which it did not meet at the end of 2022. The Company had prepared and disclosed a "Plan for Compliance with Prime Market Listing Maintenance Standards" on March 24, 2023, but it is no longer necessary as the Company now meets the listing maintenance standards.

2. History

Nippon Hume Concrete Co., Ltd. was established in Tsurumi-ku, Yokohama in October 1925 and changed its name to Nippon Hume Pipe Co., Ltd. in December 1928. It moved its head office to Minato-ku, Tokyo in December 1955 and changed its name to Nippon Hume Co., Ltd. in October 2000. It was listed on the Tokyo Stock Exchange in May 1949 and transferred to the Prime Market in April 2022. The Company will celebrate its 100th anniversary in 2025.

After starting production of Hume pipes in 1925, the Company expanded its business areas to include concrete piles, large-diameter products, and various precast concrete products used in roadworks and other constructions that utilize the Hume pipe technology. It also started real estate leasing business in 1986 and photovoltaic technology and segment business in 2015. It is further promoting the development of new products and construction methods that meet the needs of the times.

The Group is composed of the Company, nine consolidated subsidiaries, six equity-method affiliates, and one non-consolidated subsidiary.
