Company Overview

1. Company Overview and History. E-Guardian <6050> is a comprehensive net security company that upholds the business philosophy of 'We Guard All'. It was founded in 1998 as an IT venture (formerly Hot Pot Co., Ltd.), which mainly provides content provider services. During the early stages of the Internet industry, the company undertook various new business ventures. In 2005, it consolidated its business solely into online community monitoring services. It changed its name to E-Guardian Co., Ltd. and sold its other businesses. Since its listing on the Tokyo Stock Exchange Mothers in 2010, it has been committed to establishing a foundation as a 'comprehensive Internet security enterprise' that provides Internet security services in a one-stop-shop while carrying out M&As and company splits. Major M&A cases include the complete acquisition of e-ope Incorporation, which operates a net monitoring business (currently E-Guardian Tohoku Co., Ltd.), in 2012; the complete acquisition of Power Brain Co., Ltd., which operates a personnel dispatch service (it changed its name to Link Style Co., Ltd. in 2015, EG Human Solutions Co., Ltd. in 2017, and was merged into the same company in 2018), in 2014; the division of Tunnel Co., Ltd.'s debugging business (it changed its name to EG Testing Services, Inc. in 2019) in 2017; and the complete acquisition of iTS Co., Ltd. (it changed its name to EG Testing Services in 2019), which operates a debugging business in 2017. In recent years, it has enhanced its capabilities in the area of cybersecurity, as demonstrated by its acquisition of subsidiaries such as Grease Avel through cloud-based security services (2019) and J.P. Secure as a complete subsidiary of software type WAF (2020) (both companies were integrated into the current EG Secure Solutions Co., Ltd. in 2021). In overseas expansion, E-Guardian Philippines (established 2017) and E-Guardian Vietnam (established 2021) are expanding. Currently, it is a conglomerate with 5 group companies, 16 domestic offices, and 2 overseas offices, employing 2,376 employees (including 1,986 temporary employees) as of the end of March 2024. It was promoted to the Tokyo Stock Exchange First Section in September 2016 and moved to the Prime Market during the Tokyo Stock Exchange reorganization in April 2022. In August 2023, it formed a capital and business partnership with Change Holdings to lead the restructuring of the cybersecurity industry.
