(Shanda Capital) with its own funds, and signed the Equity Transfer Agreement on the Transfer of 100% Equity of Jinan Zhihui Digital Technology Co., Ltd.

According to the "Assessment Report on the Valuation of All Equity of Jinan Zhihui Digital Technology Co., Ltd. Involved in the Transfer of Equity by Shandong Shandacapital Operation Co., Ltd." (Kunxin evaluation report No. [2023] No. 0119, referred to as the "valuation report") issued by Kunxin International Asset Evaluation Group Co., Ltd., as of July 31, 2023, the assessed value of all equity of Zhihui Digital's shareholders is 2.6325 million yuan. After the completion of this transaction, Zhihui Digital will become a wholly-owned subsidiary of the company and will be included in the company's consolidated financial statements.
