Jiaxing Gas (09908) announced that Qingyuan Tourism has transferred all its equity in Qingyuan Hotel to an independent third party (i.e. an entity that is not an associate of the company (as defined in the Listing Rules)) (equity transfer) and will no longer be a shareholder of Qingyuan Hotel from June 12, 2024. According to Chapter 14A of the Listing Rules, after the completion of the equity transfer on June 12, 2024, Qingyuan Hotel will no longer be an associate of the company. Therefore, from the completion date onwards, the proposed transactions under the hotel property leasing agreement will no longer constitute continuing connected transactions. For the financial year ending December 31, 2024, the company must comply with the annual review requirements for such transactions and report on such transactions in the annual report for the financial year ending December 31, 2024 from January 1, 2024 until the completion date. As for the remaining term of the hotel property leasing agreement after the completion date, the proposed transactions will no longer be subject to the annual review and annual report requirements under Chapter 14A of the Listing Rules. Therefore, the company will no longer conduct annual reviews or make corresponding disclosures in the relevant annual reports for the period from the day after the completion date until December 31, 2024 and the subsequent fiscal years.
