Possible Bearish Signals With Cadence Design Systems Insiders Disposing Stock

Simply Wall St ·  Jun 12 18:54

Many Cadence Design Systems, Inc. (NASDAQ:CDNS) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When analyzing insider transactions, it is usually more valuable to know whether insiders are buying versus knowing if they are selling, as the latter sends an ambiguous message. However, if numerous insiders are selling, shareholders should investigate more.

While insider transactions are not the most important thing when it comes to long-term investing, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Cadence Design Systems

In the last twelve months, the biggest single sale by an insider was when the Independent Director, Alberto Sangiovanni-Vincentelli, sold US$2.0m worth of shares at a price of US$230 per share. That means that an insider was selling shares at slightly below the current price (US$301). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. However, while insider selling is sometimes discouraging, it's only a weak signal. This single sale was just 11% of Alberto Sangiovanni-Vincentelli's stake.

Insider Ownership

Looking at the total insider shareholdings in a company can help to inform your view of whether they are well aligned with common shareholders. A high insider ownership often makes company leadership more mindful of shareholder interests. It's great to see that Cadence Design Systems insiders own 0.8% of the company, worth about US$678m. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.
