Have Insiders Sold Enphase Energy Shares Recently?

Simply Wall St ·  Jun 5 20:15

Some Enphase Energy, Inc. (NASDAQ:ENPH) shareholders may be a little concerned to see that the Independent Director, Thurman Rodgers, recently sold a substantial US$41m worth of stock at a price of US$127 per share. That sale reduced their total holding by 14% which is hardly insignificant, but far from the worst we've seen.

Enphase Energy Insider Transactions Over The Last Year

In fact, the recent sale by Thurman Rodgers was the biggest sale of Enphase Energy shares made by an insider individual in the last twelve months, according to our records. So it's clear an insider wanted to take some cash off the table, even slightly below the current price of US$130. As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. Please do note, however, that sellers may have a variety of reasons for selling, so we don't know for sure what they think of the stock price. This single sale was just 14% of Thurman Rodgers's stake.

Happily, we note that in the last year insiders paid US$5.0m for 41.72k shares. But they sold 369.71k shares for US$46m. All up, insiders sold more shares in Enphase Energy than they bought, over the last year. Insider Ownership

For a common shareholder, it is worth checking how many shares are held by company insiders. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. Enphase Energy insiders own about US$536m worth of shares (which is 3.1% of the company). I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

The stark truth for Enphase Energy is that there has been more insider selling than insider buying in the last three months. Zooming out, the longer term picture doesn't give us much comfort.
