Company Overview

1. Company Overview

SIG Group <4386> is an independent system integrator aiming to be a "IT innovator transforming society". Its management philosophy is to "contribute to the high level of society through IT innovation", "respond to social needs through self-renewal and study", "accept a wide range of talents and nurture them as professionals", and "aim for employee happiness through the company's development and performance expansion". As a long-term vision, it aims to be an IT total solution company that supports corporate business transformation (DX) and contributes to corporate growth as an external CIO.

On October 1, 2021, the old SIG was transitioned to a holding company by way of corporate spin-off and renamed SIG Group. As of the end of March 2024, total assets were 45.81 billion yen, total net assets were 20.61 billion yen, the self-owned capital ratio was 45.0%, the number of issued shares was 5,932,140 shares (including 274,210 treasury shares), and the number of consolidated employees was 663.

The head office is located in Kudan-kita, Chiyoda-ku, Tokyo, and the group consists of the holding company, SIG, the consolidated subsidiary Y.C.O. (which became a wholly-owned subsidiary in April 2022 by additional share acquisition), Act Information Service (which became a wholly-owned subsidiary in March 2023 by acquiring all shares from Acro Holdings), and U.I. Solutions (which became a wholly-owned subsidiary in February 2024 by acquiring all shares from Acro Holdings, with consolidated income statements from March 2025). In addition, in March 2024, a basic agreement was signed to acquire all shares of Acro Holdings and its subsidiary, A-Creation Co., Ltd. (to be transferred and wholly owned in March 2025). Furthermore, Acro Holdings, which was treated as an equity-method affiliate, excluded it from being an equity-method affiliate by transferring a part of its held shares in March 2024 (voting rights ownership ratio after share transfer: 14.98%).

In addition, in December 2021, it formed a business partnership with Global Technology Miyazaki Co., Ltd., a group company of Acro Holdings, a capital and business alliance with Value HR <6078> in December 2023, and a business partnership with Sakata S.A.S. Co., Ltd., a subsidiary of Extreme <6033>, in March 2024.

2. History

In December 1991, SII InfoGenic Co., Ltd. (in Higashigotanda, Shinagawa-ku, Tokyo) was established with a 50% investment from two Sumitomo Metal Industries (now Nippon Steel <5401>) group companies and another investor each, and in August 1997, it moved its head office to Hongo, Bunkyo-ku, Tokyo. In September 2000, it became independent from Sumitomo Metal Industries.

Subsequently, in December 2005, it merged with Business Brain Co., Ltd., changed its name to SIG in February 2016, moved its head office to Kudan-kita, Chiyoda-ku, Tokyo, capital and business alliance with Acro Holdings in October 2020, transitioned to a holding company in October 2021 and changed its name to SIG Group, and wholly owned Y.C.O. in April 2022, Act Information Service in March 2023, and U.I. Solutions in February 2024.

In terms of stock affairs, it was listed on Tokyo Stock Exchange's (TSE) JASDAQ (Standard) market in June 2018, changed to TSE's second section in June 2019, and moved to the Standard market due to TSE market reorganization in April 2022.
