Zhitong Finance App News, Tianyi Healthcare (301097.SZ) announced that on May 31, 2024, the company received a “Letter of Commitment on Avoiding Competition” from Wu Zhimin and Wu Bin, the controlling shareholders and actual controllers of the company, to jointly invest with Tianyi Medical to acquire Nikkiso Co in cash. The controlling shareholders and actual controllers Wu Zhimin and Wu Bin issued letters of commitment to avoid competition in the CRRT business (“target business”) held by, Ltd. (hereinafter referred to as “NKS”). The details of the commitment are as follows:

1. TYHC International PTE, a wholly-owned subsidiary in Singapore of Ningbo Tianhuiyi Enterprise Management Co., Ltd., which I control. LTD acquires Nikkiso Co., in cash After the CRRT business held by, Ltd, the corresponding business will not have a significant adverse impact on Tianyi Medical's business. I promise to avoid competition issues within five years after signing this letter of commitment by adopting mergers and acquisitions, equity transfers, business operation entrustment, equity entrustment, priority provision of new business opportunities to Tianyi Healthcare, and transfer of corresponding business to unrelated third parties; 2. As of the date of signing this letter of commitment, other enterprises controlled by me and my close immediate family members have not engaged in any form of business or activity that forms or may form a competitive relationship with Tianyi Medical's main business; 3. This letter takes effect after I sign it. I promise to strictly fulfill the commitments in this letter.
