Gelonghui, May 29丨Zhongyuan Expressway (600020.SH) announced that it intends to first change the name of the company's wholly-owned subsidiary Henan Expressway Real Estate Development Co., Ltd. (“High-speed Real Estate”) to “Henan Trading Yikang Investment and Development Co., Ltd.” and then use December 31, 2023 as the transfer reference date to transfer 100% of the wholly-owned third-level subsidiaries Xuchang Yingdi Real Estate Co., Ltd., Xinzheng Yingdi Real Estate Co., Ltd., Zhengzhou Yingpeng Real Estate Co., Ltd., Henan Yingdi Property Service Co., Ltd., and Henan Junchen Property Service Co., Ltd. free of charge; Henan Yingdi Real Estate Co., Ltd., the wholly-owned subsidiaries of the company, and Henan Junchen Real Estate Co., Ltd. did not have sufficient capital reserves and retained earnings to support the transfer process, and required a reduction in registered capital for Yingdi Real Estate and Junchen Real Estate; then, 100% of Yingdi Real Estate's shares and 100% of Junchen Real Estate's shares were transferred to the new company free of charge.

After the equity transfer was completed, Yingdi Real Estate, Junchen Real Estate, Xuchang Yingdi, Xinzheng Yingdi, Zhengzhou Yingpeng, Yingdi Property and Junchen Property became wholly-owned subsidiaries of the new company, and together became wholly-owned third-level subsidiaries of the company. This equity transfer is an equity transfer between subsidiaries within the scope of the company's merger, and does not involve changes in the scope of the consolidated statement.
