(hereinafter referred to as “Electric Investment”), Shaanxi Green Gold Investment Management Co., Ltd., Shaanxi Shaanxi Investment Capital Management Co., Ltd., Shaanxi Hydropower Development Group Co., Ltd. (formerly known as “Shaanxi Hydropower Development Co., Ltd.”), Zhe****tian Solar Technology Co., Ltd. (formerly known as “Zhe****tian Solar Technology Co., Ltd.”), Jiangsu Lujin Holding Group Co., Ltd. (formerly known as “Jiangsu Kaixin Share”) “Green Finance Co., Ltd.”) has jointly signed the “Shaanxi Green Energy Industry Investment Fund Partnership (Limited Partnership)” (hereinafter referred to as the “Partnership Agreement”). Electric Investment invests RMB 80 million of its own capital in the Shaanxi Green Energy Industry Investment Fund Partnership (Limited Partnership) (hereinafter referred to as “Shaanxi Green Energy Fund”), with a fund size of RMB 200 million.

According to the “Partnership Agreement”, the term of existence of the Shaanxi Green Energy Fund is five years, which expires on December 28, 2023. Recently, all partners of Shaanxi Green Energy Fund completed the signing of the “Shaanxi Green Energy Industry Investment Fund Partnership (Limited Partnership) 2024 Second Partner Meeting Resolution” (hereinafter referred to as the “Meeting Resolution”), agreeing to terminate and cancel the liquidation reports of the Shaanxi Green Energy Fund and the Shaanxi Green Energy Fund.

According to the investment progress of the Shaanxi Green Energy Fund, a total of RMB 12 million was actually invested in the electricity investment. As of the date of this announcement, the Shaanxi Green Energy Fund has completed the withdrawal of the invested projects and the allocation of part of the recovered funds, and the electricity investment has received an allocation of RMB 13.3713 million. According to the “Meeting Resolution”, the electrical investment is also expected to receive an allocation of RMB 244,900, and the cumulative investment income is estimated to be approximately RMB 1.616,200 (subject to the actual amount of distribution and settlement received). This fund liquidation will not have a significant impact on the company's operations, and there will be no harm to the interests of the company or all shareholders.
