Gelonghui May 14 | Sinochem Fertilizer (00297.HK) announced:

(i) Xie Xiaoyan will retire as an independent non-executive director of the company and will no longer serve as the chairman of the Board Review Committee, a member of the Nomination Committee and a member of the Remuneration Committee, effective after the Annual General Meeting of Shareholders; and

(ii) The board of directors recommended the appointment of Sun Baoyuan as an independent non-executive director of the company. Mr. Sun's proposed appointment is subject to approval by the company's shareholders by means of an ordinary resolution at the annual shareholders' meeting, and if approved, will take effect at the end of the annual shareholders' meeting. After approval of his appointment as an independent non-executive director of the company, Sun Baoyuan will also serve as the chairman of the Board Review Committee, a member of the Nomination Committee and a member of the Remuneration Committee.
