According to the Zhitong Finance App, Tongjing New Energy (08326) and the offender Zhenjie Co., Ltd. jointly announced that at 4:00 p.m. on May 7, 2024 (Tuesday), the offeror had received valid acceptance of 190 million shares (approximately 23.2% of the company's issued share capital and voting rights on the date of this joint announcement) in accordance with the share offer.

Due to the effective acceptance of the offer, along with the shares that the offeror and the person acting in concert with the offeror had agreed to acquire before or during the offer, the offeror and those acting in concert with the offer will result in 421 million shares (approximately 51.5% of the company's voting rights). As a result, the offer became unconditional in all respects on May 7, 2024 (Tuesday).

According to Rule 15.3 of the Takeovers Code, an offer must remain acceptable for at least 14 days after the offer becomes or is declared unconditional (in terms of acceptance or in all aspects). Therefore, the offer will still be open for acceptance until 4:00 p.m. on May 21, 2024 (Tuesday). All other terms of the offer contained in the consolidated document and acceptance form remain unchanged.
