(“Magic Holdings”), the controlling shareholder of the company, and Quercus Zhiji No. 2 Private Equity Investment Fund (“Zhiji No. 2” or “transferee”) signed a “Share Transfer Agreement” to transfer the 30 million unrestricted shares of the company held by them (5.62% of the company's total share capital) to the transferee at a price of RMB 6.40 per share. This change in equity did not change the controlling shareholders and actual controllers of the company.
