Gelonghui, March 18, 丨 Jiahua Energy (600273.SH) announced that it recently received a notice from Jiahua Group, the controlling shareholder of the company: due to strategic development and operating needs, Jiahua Group plans to continue to separate into Jiahua Group (surviving company) and Jiahua Enterprise Management (newly established company, the specific name is subject to final approval and registration by the registration authority). As of the date of this announcement, Mr. Guan Jianzhong, the actual controller of the company, his spouse, Ms. Han Jianhong, and Jiahua Group, the controlling shareholder of the company, had no plans to reduce their holdings. Jiahua Group, Jiahua Enterprise Management, Mr. Guan Jianzhong, and Ms. Han Jianhong voluntarily promised that from the date Jiahua Group transferred Jiahua Energy shares involved in this split to Jiahua Enterprise Management, they will not reduce their holdings of Jiahua Energy shares through centralized bidding or bulk transactions within 3 years.

After this change in equity, the actual controller of the company, Mr. Guan Jianzhong, his spouse, and Jiahua Group, the controlling shareholder of the company, will determine the majority shareholder status by merger, and apply the provisions of Article 4 (1) and Article 5 of the “Implementation Rules” relating to the reduction ratio, that is, continue to share the majority shareholders' centralized bidding transactions to reduce their holdings by no more than 1% within 90 consecutive natural days, and fulfill the pre-disclosure obligation of the majority shareholders to reduce their holdings by no more than 2% within 90 consecutive natural days. The current division of the controlling shareholders will not have a substantial impact on the company's production and operation, and the controlling shareholders and actual controllers of the company will remain unchanged.
